Kevin Gottehrer concentrates his practice primarily on acquisitions and finance transactions that include:

  • Extensive experience advising and representing public and private companies, as well as private equity and other investor groups, in a broad range of mergers and acquisitions, corporate restructurings, investments, joint ventures, and other business combinations.
  • Advising and representing sellers and both financial and strategic bidders in all aspects of an M&A auction process.
  • Drafting and negotiating commercial contracts, including supply agreements, distributor agreements, license agreements, sales and marketing agreements, sales representative agreements, and service agreements.
  • Advising and assisting clients with respect to financing, real estate transfers and obtaining any necessary approvals from federal and state regulatory authorities in connection with M&A practice.
  • Engaged in general corporate and commercial matters, including entity formation and structuring, corporate maintenance and dissolution, advising clients with respect to sound business policies and risk management goals, and the drafting and negotiation of corporate agreements, including shareholders' agreements, employment agreements, noncompete agreements, and confidentiality agreements.

Representative Experience

  • Served as counsel to a NYSE-listed electric utility in numerous acquisitions, including its acquisition of a natural gas-fired combined-cycle generating facility in Florida from another NYSE-listed electric utility.
  • Served as counsel to a public-private joint venture in its acquisition of a company holding certain economic rights to the revenues from a transmission line located in central California.
  • Served as counsel to a NYSE-listed automotive retailer in more than 50 transactions involving the purchase and sale of automotive dealerships.
  • Served as counsel to a bottling and packaging company in the sale of a controlling interest to a private equity firm through an auction process.
  • Served as counsel to the management and private equity owners of a contract food services management company in connection with the initial acquisition of the underlying platform companies and in subsequent add-on acquisitions.
  • Served as counsel to a publicly traded engineered materials manufacturing company in the sale of the company's high performance fiber and synthetic polymer business to a private equity buyer via an auction process.
  • Served as counsel to a pharmaceutical company in the sale of its business to a private equity buyer.
  • Served as counsel to an equipment rental company in numerous transactions involving the acquisition of more than 20 equipment rental stores.
  • Served as counsel to NYSE-listed diversified manufacturing company of engineered industrial products in the sale of an aerospace business line to a global strategic buyer.
